1. PURPOSE AND NATURE OF THE RELATIONSHIP
1.1. Technology intermediation NEION is a digital platform that facilitates contact between Clients (families or requesters) and independent Providers. NEION coordinates requests and provides operational support for proper service delivery, acting as agent for collection.
1.2. Independence and autonomy (labor shielding) The Neioner acknowledges and accepts that: • They act as an independent contractor with full technical, scientific, and administrative autonomy. • There is no employment relationship or subordination with NEION APP SAS, nor an employment contract between the parties. • The Neioner does not receive direct orders from NEION on "how" to perform their trade; care instructions, schedules, and routines come directly from the Client, the true beneficiary of the service. • NEION does not exercise disciplinary authority; it administers quality standards and network access based on Client satisfaction and compliance with these terms.
2. ELIGIBILITY AND ACCESS REQUIREMENTS
To join the network, the Neioner must meet and maintain:
• Identity: Be 18 or older and present valid identity documents. • Truthfulness: Provide accurate information about their experience in relevant areas. • Validation: Pass interviews, psychometric testing, and criminal/disciplinary background checks. • Training: Attend induction sessions and safety protocols (which do not constitute employment training, but technical standardization).
3. SERVICES AVAILABLE ON THE NETWORK
The Neioner may accept services according to their profile and experience in:
• Childcare and child companionship. • Pet care and dog walking. • Academic tutoring and school support: The Neioner declares they have the suitability and knowledge for the subjects accepted. NEION does not guarantee academic outcomes (e.g. passing exams), as the Neioner acts as a learning facilitator. • Elder care and in-home companionship. • Support in family activities and services arising from partnerships.
4. SOCIAL SECURITY AND TAX OBLIGATIONS
4.1. Neioner's responsibility The Neioner is solely responsible for their economic activity, affiliation, and payment of contributions to the Comprehensive Social Security System (health, pension, and occupational risk). Contribution base: Under Colombian law, if monthly income equals or exceeds one (1) legal monthly minimum wage (SMMLV), they must contribute on 40% of gross income. Evidence: NEION may request the PILA form to verify compliance before releasing payments.
4.2. Taxes The Neioner is responsible for their tax obligations. NEION will apply statutory withholdings (e.g. withholding tax, industry and commerce withholding) as applicable.
5. PAYMENT SCHEDULE AND FEES
Definition: Fees are set by NEION based on market, duration, type of care, and service conditions. Payment cycles: Payments will be processed on a biweekly basis (approximately on the 15th and 30th of each month), subject to the Client having actually paid the platform. Commissions: NEION will deduct a digital intermediation commission from the total amount paid by the client.
6. ETHICAL AND PROFESSIONAL CONDUCT AND CONFIDENTIALITY
6.1. Standards of conduct Respect, honesty, and punctuality are required. Verbal or physical abuse, aggressive behavior, and use of psychoactive substances are strictly prohibited.
6.2. Absolute confidentiality The Neioner must keep strictly confidential all information about families, homes, routines, personal data, and privacy of children, adults, or pets. This obligation is perpetual; breach may result in legal action.
6.3. Identification items NEION may provide items such as vests or ID cards. Their cost may be deducted progressively from payments, with prior authorization; their use aims to give the Client security and trust.
7. PLATFORM PROTECTION (NON-CIRCUMVENTION)
7.1. Prohibition of direct dealing The Neioner agrees not to enter direct arrangements with Clients obtained through NEION to circumvent intermediation. This includes exchanging contact details to work "off platform" or continuing services outside the platform. This restriction applies during the arrangement and for six (6) months after it ends.
7.2. Penalty clause Breach of this prohibition will require the Neioner to pay NEION a penalty equal to five (5) current legal monthly minimum wages (SMMLV), without prejudice to legal claims for damages.
8. LIABILITY AND INDEMNITY
Performance: The Neioner is liable for any damage, loss, or harm caused by negligence, recklessness, or malpractice. No insurance: NEION APP SAS does not currently carry civil liability insurance; the Neioner responds with their own assets to Client claims.
9. DATA PROCESSING AND IMAGE USE
Data protection: Processing of data is authorized for verification, security, and contact, including geolocation while the App is in use for service safety. Image: The Neioner authorizes NEION to use their image, name, and photographs for promotional, institutional, and advertising purposes on social media, the web, and corporate materials.
10. CANCELLATIONS, RATINGS, AND TERMINATION
Cancellations: Unjustified cancellation of accepted services may result in warnings, suspension, or deactivation. Reputation: Clients will rate services; persistently low ratings may lead to removal from the network. Termination: NEION may terminate the agreement for breach of terms, repeated complaints, fraud, or misuse of contact information.
11. COVERAGE AND GOVERNING LAW
Services are provided mainly in Medellín and the Metropolitan Area. This agreement is governed by the laws of the Republic of Colombia.
ACCEPTANCE: By registering or accepting services through NEION APP SAS, the provider declares having read, understood, and accepted these Terms and Conditions.
